Terms of Service
The agreement between you and us for using Brigham.ai.
Last updated October 27, 2026
1. Acceptance
These terms are an agreement between you or the company you represent ("Customer", "you") and Nead, LLC ("we", "us"). By signing in to or using Brigham.ai or its website, you accept them. If you do not agree, do not use Brigham.ai.
2. Who may use Brigham.ai
Brigham.ai is for business use. You must be at least 18. If you accept these terms for a company, you confirm that you have authority to bind it. Your company is responsible for its users and for how they use Brigham.ai.
3. Changes to the service
We improve Brigham.ai continuously. Features may change, be limited or be withdrawn. The service may contain errors, be interrupted or lose functionality, and we give no commitment on uptime unless we agree one in writing. Statements about future features are plans, not promises. We may ask for your feedback.
4. Accounts
You access Brigham.ai through erp.io. Your use of erp.io is governed by its own terms, and your access to Brigham.ai depends on your erp.io account, organization, role and plan. Keep your sign-in credentials secure. You are responsible for activity under your account and must tell us promptly if you suspect misuse.
5. Your data
You own your data: the content you and your users provide to Brigham.ai, and the outputs generated for you (together, "Customer Data"). You grant us a limited, non-exclusive license to host, process, transmit and display Customer Data only as needed to provide, secure and support Brigham.ai, and as described in our Privacy Policy. We do not use Customer Data to train AI models.
You are responsible for having the rights and permissions needed to give us Customer Data and to connect the accounts you connect.
6. Connected accounts and third-party services
Brigham.ai works with third-party services such as Google, your CRM and other systems you connect. You decide what to connect and what permissions to grant. Those services are governed by their own terms and privacy policies, which apply in addition to these terms. We are not responsible for third-party services, their availability, or changes to them. Our use of information from Google APIs follows the Google API Services User Data Policy, including the Limited Use requirements, as described in our Privacy Policy.
7. AI output and approvals
- Brigham.ai uses AI models. Their output can be incomplete, outdated or wrong, and can differ between runs.
- You must review output before relying on it, especially for legal, financial, medical, employment or other significant decisions. Brigham.ai is not a substitute for professional advice.
- Brigham.ai is designed so that sensitive actions wait for a person. Approvals are your decision. When you or your users approve an action, you are responsible for it and its consequences.
- You are responsible for the configuration you choose, including which categories of reversible actions are turned on.
8. Acceptable use
You will not, and will not allow others to:
- use Brigham.ai unlawfully, or to infringe rights, harass, defraud or send spam;
- attempt to bypass, disable or weaken approvals, permissions, policy checks, budgets or other safeguards, including by crafting content intended to manipulate the AI into doing so;
- access another workspace’s data or another person’s private data, or attempt to;
- probe, scan or test the vulnerability of Brigham.ai without our written permission;
- reverse engineer, decompile or extract source code, models or prompts, except as law allows;
- resell or provide Brigham.ai to third parties except as we agree in writing;
- interfere with or overload the service;
- enter, connect or process excluded categories of data, such as health records or other regulated sensitive data we have identified as excluded, unless we have agreed in writing.
9. Fees
Fees are set by your erp.io plan and any usage-based charges shown there. They are billed through erp.io and its billing portal, under the terms that apply to your plan. Fees exclude taxes, which you are responsible for, except taxes on our income. Unless stated otherwise, fees are non-refundable. We may change fees on notice, effective at your next billing period. We may offer promotional pricing or credits that we may change or end.
10. Confidentiality
Each party will protect the other’s non-public information it receives, use it only to perform or use the service, and disclose it only to people who need it and are bound to confidentiality, or as required by law. Customer Data is your confidential information. This does not cover information that is public through no fault of the recipient, already known, independently developed or lawfully received from a third party.
11. Intellectual property
We and our licensors own Brigham.ai, including its software, design, documentation and trademarks. Except for the right to use Brigham.ai under these terms, we grant no rights to them. You may not remove proprietary notices.
12. Feedback
If you give us suggestions or feedback, we may use them without restriction or obligation to you. Feedback does not include Customer Data.
13. Suspension and termination
You may stop using Brigham.ai at any time. We may suspend or end your access if you breach these terms, create risk or legal exposure, fail to pay, or if we discontinue the service. Where reasonable we will give notice first. On termination, your right to use Brigham.ai ends. We will handle Customer Data as set out in the Privacy Policy, and will make export available on request. Sections that by nature should survive will survive.
14. Disclaimer of warranties
Brigham.ai is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy of AI output, and uninterrupted or error-free operation.
15. Limitation of liability
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to these terms or Brigham.ai, even if advised of the possibility. Our total liability for all claims will not exceed the fees you paid us for Brigham.ai in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
16. Indemnity
You will defend and indemnify us against third-party claims, and related losses and reasonable costs, arising from Customer Data, your breach of these terms or the law, or actions you approve through Brigham.ai. We will tell you of the claim promptly and cooperate at your expense, and you may not settle in a way that binds us without our consent.
17. Governing law and disputes
These terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law rules. The state and federal courts located in Arkansas have exclusive jurisdiction, and each party consents to them, except that either party may seek injunctive relief anywhere to protect its intellectual property or confidential information.
18. Changes to these terms
We may update these terms. For material changes we will give notice, for example to workspace administrators or in the product, before they take effect. If you keep using Brigham.ai after the effective date, you accept the changes. If you do not agree, stop using Brigham.ai.
19. General
These terms, with the Privacy Policy and any written agreement signed by both parties, are the entire agreement on this subject. If a part is unenforceable, the rest stays in force. Failure to enforce a right is not a waiver. You may not assign these terms without our consent; we may assign them in a merger or sale. Neither party is liable for failures caused by events beyond its reasonable control.
